Applicability
These terms apply to all our quotes, offers and agreements. They are filed with the Chamber of Commerce in Leeuwarden, the Netherlands.
Quotes
Our quotes are non-binding. All prices are exclusive of VAT and any additional costs, unless stated otherwise.
Execution
We carry out assignments to the best of our ability and expertise. We may engage third parties. Changes to the assignment are discussed in advance and may affect timelines and costs.
Termination
If either party fails to meet its obligations, the other party may suspend or dissolve the agreement. Work already performed will be invoiced.
Force majeure
In circumstances beyond our control, we may suspend execution. If force majeure lasts longer than two months, either party may dissolve the agreement.
Payment
Payment is due within 14 days of the invoice date. Interest is charged on late payments.
Ownership and confidentiality
Delivered work remains our property until all obligations are fulfilled. We handle your information with care and confidentiality. Our work may not be used for purposes other than those agreed upon.
Liability
Our liability is limited to a maximum of one and a half times the invoice value of the relevant assignment. We are not liable for indirect damages, including consequential loss and lost profits.
Indemnification
The client indemnifies us against third-party claims related to the execution of the agreement.
Dutch law
All our agreements are governed exclusively by Dutch law. Disputes are submitted to the competent court in our place of business.
